Welcome to MailSynth (“we,” “us,” “our”). MailSynth is an AI-driven email organization and daily-digest service that integrates with your Gmail account to help you better manage, review, and act on your emails. By signing up for, accessing, or using MailSynth (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and any additional documents referenced herein. If you do not agree to any part of the Terms, do not use the Service.
Overview of Service
1.1 Service Description
MailSynth uses proprietary AI models (including Google’s Gemini) and Google Cloud technologies to provide organized views of your Gmail inbox and produce daily digest summaries. Our platform leverages Firebase for app infrastructure and uses the Gmail API to read, categorize, and summarize emails.
1.2 Eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction if higher) to use MailSynth.
By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.
1.3 Service Limitations
The Service may be subject to certain limitations imposed by Google APIs, such as usage quotas or rate limits.
The Service may depend on third-party platforms and infrastructures; outages or downtime in third-party services may impact your use of MailSynth.
Account Registration and Security
2.1 Registration
To use MailSynth, you must sign in with your Google account and grant MailSynth the permissions it needs (e.g., Gmail API scopes). You agree to provide accurate and complete information during sign-up, and to keep this information up-to-date.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of any login credentials you use to access MailSynth. You agree to notify us immediately if you suspect any unauthorized use of your account or breach of security.
2.3 Account Suspension or Termination
We reserve the right to suspend or terminate your MailSynth account if you violate these Terms, engage in illegal activity, or if necessary to protect the security and integrity of our platform.
We may also terminate or suspend the Service, in whole or in part, at any time, with or without notice.
User Conduct and Obligations
3.1 Prohibited Actions
When using MailSynth, you agree not to:
Use the Service in violation of any applicable law or regulation.
Infringe upon or misappropriate third-party intellectual property rights.
Use the Service to distribute any unlawful or otherwise objectionable content, including spam, harassing communications, malware, or other harmful software.
Interfere with or disrupt the servers or networks used by MailSynth.
Reverse-engineer, modify, or create derivative works from any part of the Service (except as allowed by law).
Collect or harvest any personally identifiable information through automated means, except as strictly needed to use the Service’s features.
3.2 Responsibility for User Content
MailSynth processes email data from your Gmail account in order to organize, categorize, and produce daily summaries. You are solely responsible for the content of your emails. We do not endorse or assume any responsibility for any email content you or your contacts exchange.
Use of Data and Privacy
4.1 Data Processing
By using MailSynth, you grant us permission to access and process your Gmail data solely to provide the Service’s core features. This includes reading and categorizing emails for summary generation, producing AI-driven analytics, and sending organized digests back to you.
4.2 Data Storage
We use Google Cloud and Firebase to store necessary data (e.g., tokens, user settings, aggregated logs). We will never store or retain the full text of your emails outside of your Gmail account except when it is strictly necessary for the Service (e.g., temporarily caching summaries).
4.3 Privacy Policy
Our [Privacy Policy] describes our collection, use, and disclosure of information you provide to us. By using the Service, you consent to the practices described in the Privacy Policy. If you disagree with any aspect of the Privacy Policy, you must discontinue using MailSynth.
4.4 Compliance with Google APIs
MailSynth follows Google’s API Services User Data Policy, including the Limited Use requirements for data obtained through Gmail API scopes. We do not sell your data or use it for advertising purposes.
Intellectual Property
5.1 MailSynth IP
All rights, title, and interest in and to the Service, including software, branding, interfaces, and associated intellectual property, are owned by us or our licensors. You receive no rights to such property except as explicitly stated in these Terms.
5.2 User Feedback
Any suggestions, feedback, or ideas you provide concerning MailSynth may be used by us without acknowledgment or compensation to you. By providing feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, sublicensable license to use and incorporate your feedback into the Service.
Fees and Payment
6.1 Free and Paid Plans
We may offer both free and paid tiers of the Service. The features and limits of each plan will be outlined on our website or application.
We reserve the right to modify our pricing, introduce new fees, or amend existing fees with notice to you.
6.2 Billing
Paid subscriptions will be billed on the schedule and at the rate disclosed at the time of purchase.
Any price changes will go into effect at the start of the next billing cycle after we notify you.
6.3 Refunds
Refund requests will be evaluated on a case-by-case basis. To the fullest extent permitted by law, any subscription fees are non-refundable except as explicitly stated in a separate agreement.
Third-Party Services
MailSynth uses third-party platforms such as Google Cloud, Firebase, and the Gmail API. You acknowledge that:
Your use of Gmail is subject to Google’s Terms of Service and any Gmail-specific usage policies.
MailSynth’s functionality may rely on these third-party services. We are not responsible for any downtime, disruptions, or issues caused by these services.
Any dispute arising between you and these third-party services remains solely between you and the third party.
Disclaimer of Warranties
To the maximum extent permitted by law:
MailSynth is provided “AS IS” without any warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free functionality.
We do not guarantee that the Service will always be secure, available, or free from errors or viruses.
We disclaim all liability for the accuracy, completeness, or reliability of the AI-driven analyses and summaries. You are responsible for verifying critical or sensitive communications.
Limitation of Liability
No Indirect Damages: In no event shall we be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption.
Cap on Liability: Our maximum aggregate liability arising out of or related to the use of the Service shall not exceed the total amount paid by you (if any) for accessing the Service in the six (6) months preceding the event giving rise to the claim.
Jurisdictional Variations: Some jurisdictions do not allow the limitation of certain warranties or the exclusion of liability for certain types of damages, so some of the disclaimers may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless MailSynth and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or relating to your use or misuse of the Service, your violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.
Modification of the Terms
We may update these Terms from time to time to reflect changes in the Service or for legal, operational, or regulatory reasons. When we do so, we will post the revised Terms and update the “Effective Date” at the top. Your continued use of MailSynth after such changes indicates your acceptance of the new Terms. If you disagree with the updated Terms, you must discontinue your use of the Service.
Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and any related disputes are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
12.2 Dispute Resolution
All disputes arising out of or related to these Terms or the Service will be resolved through binding arbitration under the rules of the American Arbitration Association in Wilmington, Delaware, except where prohibited by law. Each party shall bear its own arbitration costs, and the decision of the arbitrator(s) shall be final and binding. If arbitration is prohibited by law, disputes shall be resolved in the state or federal courts located in New Castle County, Delaware.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
Entire Agreement
These Terms, along with our Privacy Policy and any other documents expressly referenced herein, constitute the entire agreement between you and MailSynth with respect to your use of the Service. They supersede all prior agreements, proposals, negotiations, and discussions between the parties relating to the subject matter.
